Citt.ai Terms of Service — Therapists and Clinics
These terms apply if you register or use Citt.ai as a licensed therapist, mental health professional, or authorised representative of a clinic or practice. If you are a patient, see the patient terms.

1. Overview and Scope
These Terms govern your access to and use of the Citt.ai website, applications, messaging integrations, and related services (collectively, the "Service") in your professional capacity. A separate order, plan, or enterprise agreement may add requirements and will control over these Terms where there is a conflict.
The Service is practice software with AI-assisted features. It does not replace your professional judgment, supervision arrangements, or statutory duties to patients.
2. Eligibility and Account Integrity
You must be at least 18 years old and authorised to enter into contracts for yourself or your organisation. You represent that you hold (or your organisation holds) the professional credentials you claim and that you will keep licence and registration information accurate. We may verify identity or eligibility and may suspend access if verification fails.
You are responsible for credentials and for all activity under your account. Notify us immediately at declan@citt.ai if you suspect unauthorised use.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful or fraudulent purpose.
- Attempt to bypass, disable, or interfere with safety or crisis detection except as needed for lawful clinical risk management within the product's intended controls.
- Share account credentials or grant access to individuals who are not bound by appropriate confidentiality and professional obligations.
- Reverse-engineer, scrape, or copy the AI models, prompts, or non-public APIs except as permitted by law.
- Upload or process data you are not lawfully permitted to hold or that violates third-party rights.
4. AI Features and Professional Review
The Service uses generative AI for drafting, summarisation, assessments, messaging support, and similar tasks. You must review AI output before relying on it clinically or sharing it with patients. You remain solely responsible for decisions in patient care.
We strive for quality and safety but do not warrant that outputs are complete, error-free, or appropriate in every jurisdiction or clinical context.
5. Crisis and Safety Tools
The platform may include automated screening, escalation, or notification features. Those tools assist your workflow; they do not discharge your duty to assess risk, follow local emergency protocols, or comply with your regulator's expectations. Citt.ai is not an emergency service and does not provide crisis counselling.
6. Privacy, Data Protection, and Joint Controllership
Your use of the Service is governed by our privacy notice for therapists and clinics, which describes roles, subprocessors, retention, and international transfers at a high level. For specific clinical-AI flows (managed records, patient messaging and AI support, assessments and check-ins, session recording and transcription), you and Citt.ai act as joint controllers under the Joint Controller Agreement you accept in the product. Residual processor terms, where they apply to narrow technical engagements, are in the Residual Data Processing Agreement.
You will provide patients with your own privacy information as required by law and, where applicable, point them to the patient privacy notice for the platform layer.
7. Regulatory and Clinical Compliance
You are responsible for compliance with laws and professional rules that apply to you (including GDPR, UK GDPR, HIPAA where relevant, and local mental health or telehealth rules). You obtain and document consents, retain records, and configure the Service in line with your obligations. Citt.ai does not provide legal or clinical compliance advice.
8. Managed Records and Patient Onboarding
You may create managed records for patients who have not yet activated patient-facing features. Until a patient claims an account, they do not use chat, check-ins, or assessments through Citt.ai. You remain responsible for the lawfulness of invitations, operational messages, and clinical content associated with those records, consistent with the Joint Controller Agreement and privacy notices.
9. Billing, Fees, and Payouts
Subscription fees, patient billing, payouts, and taxes are handled through the flows and processors disclosed in the product (for example Stripe, Paystack, or PayPal). You authorise us to charge fees per your selected plan and to share data with payment providers as needed to operate billing. Disputes between you and your patients over fees are primarily between you and them, subject to our reasonable cooperation and these Terms.
10. Intellectual Property
Citt.ai and its licensors own the Service, branding, and underlying technology. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service for your professional practice during your subscription. Clinical content you create remains yours, subject to licences needed to operate the Service.
11. Limitation of Liability
To the maximum extent permitted by law, Citt.ai will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Service. Nothing in these Terms excludes liability that cannot lawfully be excluded. Where liability can be limited, our aggregate liability is limited to the fees you paid to Citt.ai for the Service in the twelve months before the claim arose.
12. Termination
You may stop using the Service or close your account according to in-product controls. We may suspend or terminate access for breach, legal requirement, security risk, or non-payment where applicable. On termination, we handle data as described in our privacy notices and retention practices, and you may export data where the product provides export tools within the stated window.
13. Changes to These Terms
We may update these Terms. Material changes may require re-acceptance in the product (including alongside updated legal documents). Continued use after notice constitutes acceptance where re-acceptance is not legally required.
14. Governing Law
Unless a separate signed agreement says otherwise, these Terms are governed by the laws of Ireland, without regard to conflict of law rules, and the courts of Ireland have jurisdiction, subject to mandatory protections that apply to consumers or small businesses in your home jurisdiction.
